Please read these Terms and Conditions (“Terms”) carefully before accessing or using Rootwell.

1. Interpretation and Definitions

1.1 Interpretation

Capitalized terms have the meanings provided below or elsewhere in these Terms. These definitions apply whether the terms appear in singular or plural.

1.2 Definitions

• Application or App means the Rootwell mobile application, including its features, tools, content, and updates.

• Company, We, Us, or Our means Biokainos Corp., a Delaware corporation and the operator of Rootwell.

• Device means a device capable of accessing the Service.

• Service means the Application, Rootwell’s official website, associated software, nutrition analysis tools, content, and related services provided by the Company.

• User Content means photos, meal descriptions, food logs, menu uploads, profile information, feedback, and other content you submit through the Service.

• You or Your means the individual accessing or using the Service.

• Subscription means a paid plan providing access to specified features for a recurring billing period.

2. Agreement to Terms

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Our Privacy Policy explains how we process personal information. Where applicable, our Washington Consumer Health Data Privacy Policy also applies. Acceptance of these Terms does not replace any separate consent required for processing personal or health-related information.

If you create an account, you agree to provide accurate information, safeguard your sign-in credentials, and notify us if you believe your account has been accessed without authorization.

3. Eligibility and Age Requirements

You must be at least 13 years old to use Rootwell, or meet any higher minimum age required by applicable law.

If you are under 18 or below the age of legal adulthood where you live, you may use the Service only with the consent and supervision of a parent or legal guardian who accepts these Terms on your behalf.

The Service’s nutrition estimates and goals may not be appropriate for children or adolescents without guidance from a qualified healthcare professional.

4. Health, Nutrition, and Safety Disclaimers

Rootwell provides general nutrition and wellness information for educational purposes. It does not provide medical advice, diagnosis, treatment, or individualized professional dietary care.

Food identifications, portion estimates, nutrient calculations, bioactive information, food scores, and other AI-generated results may be inaccurate, incomplete, or unsuitable for your circumstances.

In particular:

• Photos and descriptions may not reveal ingredients, portion sizes, preparation methods, or hidden allergens.

• Barcode and restaurant menu information may be outdated or incomplete.

• Food scores reflect Rootwell’s scoring approach and are not clinical assessments or guarantees of health benefits.

• References to longevity describe general wellness goals. Rootwell does not guarantee a longer lifespan, disease prevention, weight change, or any other health outcome.

• Do not rely on Rootwell to determine whether food is safe for an allergy or intolerance, to calculate medication doses, or to manage a medical condition.

• Consult a qualified healthcare professional before making dietary changes that may affect a medical condition, pregnancy, medication use, or recovery from an eating disorder.

The Service is not intended to diagnose, treat, cure, or prevent disease. Do not disregard professional medical advice or delay seeking it because of information provided by Rootwell.

5. User Content and Permission to Process It

You retain any ownership rights you have in your User Content.

By submitting User Content, you grant Biokainos Corp. a nonexclusive, worldwide, royalty-free license to host, store, reproduce, transmit, and process that content only as reasonably necessary to provide and maintain the Service, generate requested analyses, and respond to your support requests.

This permission extends to service providers acting on our behalf for those purposes, subject to our Privacy Policy and applicable law. For example, relevant submissions may be transmitted to OpenAI through its API to generate nutrition insights.

This license does not authorize us to sell your personal information, publicly publish your private submissions, or use them to train general-purpose AI models.

The license ends when the content is deleted from our systems, except to the limited extent continued retention or processing is legally permitted or required, as described in our Privacy Policy.

You represent that you have the rights and permissions necessary to submit your content. Do not submit content that unlawfully infringes another person’s intellectual property or privacy rights.

6. Prohibited Uses

You agree not to:

• Use the Service for unlawful, fraudulent, abusive, or harmful activities.

• Upload malicious code or content that infringes another person’s rights.

• Access another person’s account or data without authorization.

• Circumvent security controls, usage limits, or payment requirements.

• Disrupt, overload, or interfere with the Service.

• Scrape or extract content through unauthorized automated methods.

• Copy, resell, or commercially exploit the Service without permission.

• Reverse engineer the Service, except where applicable law permits it despite this restriction.

• Present Rootwell’s outputs as a medical diagnosis or falsely claim that the Company endorses your products or services.

Nothing in these Terms restricts activities that applicable law protects.

7. Subscriptions, Billing, and In-App Purchases

7.1 Prices and Subscription Plans

Some features require a paid Subscription. The price, billing period, included features, and applicable trial terms will be displayed before you confirm a purchase.

7.2 Payment Processing

Purchases made through the Apple App Store are processed by Apple and are subject to its applicable payment and subscription terms.

If we offer another purchasing method, its applicable payment terms will be disclosed at checkout.

7.3 Automatic Renewal

Subscriptions renew automatically unless canceled before renewal according to the purchasing platform’s terms. Renewal charges use the applicable price disclosed to you.

7.4 Free Trials and Introductory Offers

If offered, trial duration, eligibility, and the price charged after the trial will be disclosed before enrollment.

A trial may convert into a paid Subscription unless canceled in time. For Apple trials, cancel at least 24 hours before the trial ends if you do not want it to renew.

7.5 Cancellation

Manage or cancel Apple subscriptions through your Apple account’s subscription settings.

Deleting the App or requesting account deletion does not, by itself, cancel an App Store Subscription.

Access after cancellation depends on the purchasing platform’s terms and the type of offer.

7.6 Refunds and Price Changes

Refund requests for Apple purchases should be submitted to Apple. Refund eligibility is subject to applicable law and the purchasing platform’s policies.

We will provide notice of price changes and obtain any required consent in accordance with applicable law and platform requirements. These Terms do not limit mandatory refund or cancellation rights.

8. Third-Party Services

Rootwell uses third-party services, including AI processing and food information providers, to support certain features. Information from these services may contain errors or become unavailable.

Links to external websites do not constitute endorsement. Your use of independently operated third-party services may be governed by their own terms and privacy policies.

Our use of service providers to process personal information is described in our Privacy Policy. This section does not remove responsibilities that applicable law places on Biokainos Corp.

For App Store downloads, Apple’s standard end-user license agreement applies to the Application unless a valid custom agreement is supplied. These Terms govern Rootwell’s services without displacing mandatory Apple terms.

9. Intellectual Property

The Service’s software, branding, designs, and original content are owned by Biokainos Corp. or its licensors, excluding User Content and third-party materials.

Subject to these Terms and any applicable App Store license, you may use the Service for your personal, noncommercial purposes.

You may not reproduce, distribute, sell, or modify protected elements of the Service without permission, except as permitted by law.

We do not claim ownership of your personal information or User Content.

10. Suspension and Termination

You may stop using the Service at any time and request account deletion as described in our Privacy Policy.

We may suspend or terminate access if you materially violate these Terms, misuse the Service, create a security risk, or if we are legally required to do so.

Where reasonably practicable, we will provide notice and an opportunity to resolve the issue. Immediate action may be necessary to address fraud, security threats, unlawful conduct, or legal requirements.

Termination does not remove applicable privacy rights, mandatory refund rights, or obligations that arose before termination. Provisions intended to continue after termination will remain effective.

11. “As Is” and “As Available” Disclaimer

To the extent permitted by applicable law, the Service is provided “as is” and “as available,” without warranties of uninterrupted operation, error-free results, or suitability for a particular purpose.

To that extent, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that nutrition estimates, food identifications, scores, or other outputs will be accurate or complete.

These disclaimers do not exclude warranties or consumer guarantees that cannot lawfully be excluded.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Biokainos Corp. will not be liable for indirect, incidental, special, or consequential losses arising from use of the Service, including lost profits or loss of data.

To the same extent, our aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of:

• The amount you paid for the Service during the 12 months preceding the event giving rise to the claim; or

• USD $100.

These limitations do not apply to fraud, willful misconduct, gross negligence, or any liability that applicable law prohibits us from excluding or limiting.

Your mandatory consumer rights remain unaffected.

13. Copyright Concerns

If you believe content available through Rootwell infringes your copyright, contact info@rootwellapp.com with:

• Your name and contact information.

• A description of the copyrighted work.

• The location or sufficient identifying details of the allegedly infringing content.

• An explanation of your ownership or authority to act for the copyright owner.

We will review the report and take appropriate action. Do not submit knowingly false infringement claims.

14. Governing Law

To the extent permitted by applicable law, these Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.

If you are a consumer, this choice of law does not deprive you of mandatory protections available under the laws of your place of residence.

15. Dispute Resolution

If you have a dispute concerning Rootwell, please contact info@rootwellapp.com so we can attempt to resolve it.

This informal process does not prevent you from seeking urgent relief, submitting a complaint to a regulator, or exercising rights under applicable law.

Subject to mandatory consumer protections, disputes may be brought before a court with competent jurisdiction in Delaware. Where applicable law gives you the right to bring a claim in your place of residence, that right remains available.

These Terms do not require binding arbitration or waive your right to participate in a class action where permitted by law.

16. Severability and Waiver

If a provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

A failure or delay in enforcing a provision does not waive our right to enforce it later.

17. Changes to These Terms

We may update these Terms to reflect changes to the Service, our operations, or legal requirements.

We will update the “Last Updated” date and provide reasonable advance notice of material changes where required. If applicable law requires affirmative acceptance, we will request it.

Otherwise, continued use after the changes take effect constitutes acceptance to the extent permitted by law. If you disagree with updated Terms, you may stop using the Service and cancel your Subscription.
